Recent news events focusing on incentive compensation to executives at large national banks at the expense of customers will result in additional scrutiny of all bank compensation practices, including those of community banks. This presentation will discuss the tools that regulators have recommended to deter risk through incentive compensation programs beginning with the 2010 Guidance on Incentive Compensation and culminating in the recent Notices of Proposed Rulemaking from prudential banking regulators and the SEC. The presentation will also discuss broader compensation practices at community banks and the role that compensation committees and the board should play in determining an appropriate balance between risk and reward through incentive compensation.
